Welcome to the Spring Labs Holdings, Inc. website. These Terms of Use ("Terms") govern your access to and use of the publicly available websites operated by Spring Labs Holdings, Inc. ("Spring Labs," "we," "our," or "us").

By accessing or using the Site, you agree to these Terms. If you are accessing or using the Site on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms include both you and that entity.

These Terms govern only your access to and use of the publicly available Site. Access to or use of any Spring Labs products, software, hosted services, APIs, customer portals, artificial intelligence capabilities, or other services is governed exclusively by the applicable written agreement between Spring Labs and the customer, including any master subscription agreement, master services agreement, order form, statement of work, or other executed agreement. In the event of any conflict between these Terms and such written agreement, the written agreement will control. You represent and warrant that you are at least 18 years of age. If you do not agree with all provisions of these Terms, do not access or use the Site.

You receive a limited, non-exclusive, revocable license to access and use the Site for lawful business and informational purposes. You may not misuse the Site, interfere with its operation, attempt unauthorized access, scrape or harvest content without authorization, introduce malicious code, or use Site content to develop competing products or AI models except as expressly authorized. You shall not license, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit any portion of the Site or its content. You shall not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site, except to the extent such restriction is prohibited by applicable law. All copyright and other proprietary notices on the Site must be retained on all copies of Site content.

Spring Labs reserves the right, at any time, to modify, suspend, or discontinue the Site (in whole or in part) with or without notice. Spring Labs will not be liable to you or any third party for any modification, suspension, or discontinuation of the Site.

Spring Labs reserves all rights not expressly granted in these Terms.

All Site content is owned by or licensed to Spring Labs and protected by applicable intellectual property laws. Neither these Terms nor your access to the Site transfers to you any rights, title, or interest in such intellectual property rights, except for the limited license expressly set forth herein. All trademarks, logos, and service marks displayed on the Site are the property of Spring Labs or third parties; you may not use any such marks without prior written consent.

If you voluntarily provide Spring Labs with suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback regarding the Site or Spring Labs' products or services ("Feedback"), you grant Spring Labs a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, distribute, display, perform, create derivative works from, and otherwise exploit such Feedback for any lawful purpose without restriction or compensation. You represent that you have all rights necessary to provide such Feedback. Spring Labs will treat Feedback as non-confidential and non-proprietary.

The Site may contain links to third-party websites, products, services, or other resources that are not owned or controlled by Spring Labs. Such links are provided solely as a convenience and do not constitute an endorsement by Spring Labs. Spring Labs does not control and is not responsible for the content, products, services, security, availability, or privacy practices of any third-party website or service. Your use of any third-party website or service is at your own risk and subject to the terms and policies of the applicable third party.

You agree to defend, indemnify, and hold harmless Spring Labs, its affiliates, and its respective officers, directors, employees, agents, licensors, and service providers from and against any third-party claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your misuse of the Site; (c) your violation of applicable law; or (d) your infringement or misappropriation of any intellectual property or other rights of a third party in connection with your use of the Site. Spring Labs reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, and you agree to cooperate reasonably in the defense of such matter.

Your use of the Site is also subject to our Privacy Policy and Cookie Policy, each incorporated into these Terms by reference. Those policies describe how Spring Labs collects, uses, discloses, and protects information and how cookies and similar technologies are used on the Site. Your choices regarding cookies and similar technologies are described in our Cookie Policy and may be managed through the cookie consent tools made available on the Site, where applicable.

Registration for conferences, webinars, demonstrations, training sessions, or other events offered by or on behalf of Spring Labs may be subject to additional terms, conditions, policies, or registration requirements presented at the time of registration. Those additional terms supplement these Terms solely with respect to the applicable event and, in the event of a conflict, shall govern with respect to that event.

The Site and all content made available through it are provided solely for general informational purposes. Nothing on the Site constitutes legal, regulatory, compliance, accounting, financial, investment, or other professional advice, and the Site should not be relied upon as a substitute for obtaining advice from qualified professionals based on your particular facts and circumstances.

Nothing on the Site constitutes an offer to sell, a solicitation of an offer, a commitment, representation, warranty, or guarantee regarding any Spring Labs product or service, including its availability, functionality, performance, pricing, roadmap, future development, or suitability for any particular purpose.

Any purchase or use of Spring Labs products or services is governed solely by the applicable written agreement between Spring Labs and the customer. Nothing on the Site shall be construed as creating any contractual obligation unless expressly set forth in a written agreement executed by Spring Labs.

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRING LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THIS INCLUDES, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. SPRING LABS MAKES NO WARRANTY THAT THE SITE WILL SATISFY YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED OR ERROR-FREE BASIS, BE FREE OF VIRUSES OR OTHER HARMFUL CODE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.

YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRING LABS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED US$50. THIS LIMITATION APPLIES TO LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, AND SIMILAR DAMAGES, EVEN IF SPRING LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO AND USE OF THE SITE IS AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM SUCH USE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

The parties agree to attempt informal resolution before binding AAA arbitration in Los Angeles County, California. Claims must be brought individually and not as class actions. Either party may seek temporary injunctive relief to protect intellectual property or confidential information. Before initiating arbitration, the claiming party must send a written Notice of Dispute describing the nature of the claim and the relief requested. The parties will have thirty (30) days to resolve the dispute informally following receipt of the Notice. Arbitration shall be conducted by a single neutral arbitrator under the AAA Consumer Arbitration Rules, available at www.adr.org. The arbitrator’s award shall be final and binding. The foregoing does not prevent either party from seeking emergency equitable relief in court to maintain the status quo pending arbitration. Notwithstanding the foregoing, claims for defamation and infringement or misappropriation of patent, copyright, trademark, or trade secrets shall not be subject to mandatory arbitration. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS OR CONSOLIDATED ACTIONS. For any claims not subject to arbitration under these Terms, the parties consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, and waive any objection to such jurisdiction or venue. These Terms and any dispute arising hereunder shall be governed by the laws of the State of California, without regard to its conflict of laws principles.

Spring Labs may update these Terms from time to time. Continued use of the Site following any update constitutes your acceptance of the revised Terms. If any provision is unenforceable, the remainder remains effective. You consent to receive communications from Spring Labs in electronic form, and agree that such electronic communications satisfy any applicable legal requirement that communications be in writing. These Terms constitute the entire agreement between you and Spring Labs with respect to use of the Site and supersede all prior agreements. Spring Labs’ failure to enforce any right or provision shall not constitute a waiver. You may not assign your rights under these Terms without Spring Labs’ prior written consent; Spring Labs may freely assign these Terms.
